Client Terms of Business
These terms set out the basis on which I provide consultancy, mentoring, critical-friend review and related professional-development services. They apply to the services I provide as an independent educational consultant.
The specific service, scope, deliverables, timescale and fee for each client will be agreed separately in writing, normally through a Consultancy Services Agreement. If a specific written agreement with a client contains terms that differ from these general terms, the specific agreement will take priority.
1. About me
I am Dr Leticia Yulita, an independent educational consultant, mentor, educator and researcher.
I provide services independently and am not acting on behalf of the University of East Anglia, Advance HE or any other organisation.

2. Services
My services may include:

Advance HE Fellowship mentoring and critical-friend review;
-
professional development mentoring and consultancy;
-
consultancy relating to internationalisation, decolonisation, intercultural competences and gender equality in education;
-
workshops, training and related educational consultancy; and
-
other services agreed with an individual client or organisation.
The precise scope of each service, including what is and is not included, will be agreed in writing before the service begins. Any additional work requested after the agreed scope may be subject to a separate fee and agreement.
3. Client responsibilities
To provide an effective service, I rely on clients to:
-
provide accurate and complete information relevant to the agreed service;
-
provide agreed documents or other materials within the required timescale;
-
attend scheduled meetings and participate actively in mentoring or consultancy activities;
-
inform me of any relevant requirements, deadlines or changes that may affect the work; and
-
communicate professionally and respectfully.
Where delays or incomplete information from the client affect the agreed timescale or scope of work, the delivery date may need to be revised.
4. Advance HE Fellowship applications
Where I provide mentoring or critical friend support relating to an Advance HE Fellowship application, my services are independent of Advance HE and do not form part of the Advance HE Fellowship assessment or review process. I do not determine the outcome of Fellowship applications and cannot guarantee the award of Fellowship.
My role is to provide professional guidance, mentoring, feedback and critical friend support to help clients reflect on and develop their own practice and application.
The client remains responsible for:
-
the content and accuracy of their application;
-
ensuring that their application is their own work;
-
ensuring that any evidence, references or statements included in their application are accurate and appropriate;
-
complying with the current requirements and guidance of Advance HE; and
-
submitting their application.
I do not write Fellowship applications on behalf of clients or submit applications for them.
Clients should always refer to the current guidance and requirements published by Advance HE.
5. Fees and payment
The fee and payment arrangements for each service will be agreed in writing before the service begins. Unless otherwise agreed, invoices are payable within 14 days and before the commencement of the agreed service.
For international payments, any bank, currency conversion or transfer charges imposed by the client's bank or payment provider are the client's responsibility.
If an invoice is not paid by the agreed due date, I may postpone or suspend the service until payment has been received.
6. Cancellation and rescheduling
Either party may request that a scheduled meeting or session be rescheduled. Where possible, at least 48 hours' notice should be provided.
Sessions cancelled by the client with less than 24 hours' notice may be charged in full, except where exceptional circumstances apply.
If I need to cancel or reschedule a session, I will offer a mutually convenient alternative date.
Where a programme or block of services is cancelled by the client, any refund will be considered in accordance with the terms agreed for that particular service and any applicable statutory cancellation rights.
Where the client is a consumer and the service is entered into at a distance, statutory consumer cancellation rights may apply. Nothing in these terms limits or excludes any statutory consumer rights.
Where the client is a consumer and the service is entered into at a distance, statutory consumer cancellation rights may apply. If the client expressly requests that the service begins during the statutory cancellation period, payment may be due for services provided up to the point of cancellation, in accordance with applicable law.
Where a service is fully performed during the statutory cancellation period following the client's express request for the service to begin during that period and acknowledgement of the effect on their cancellation rights, the statutory right to cancel may no longer apply, where permitted by law.
Nothing in these terms limits or excludes any statutory consumer rights.
7. Confidentiality
I will treat information shared with me in connection with the provision of services as confidential and will use it only for the purposes for which it has been provided, except where disclosure is required by law or is necessary to protect legal rights or comply with a legal or professional obligation.
Clients should not share confidential information belonging to another person or organisation unless they are authorised to do so.
Where services are delivered in a group setting, participants are expected to respect the confidentiality of information shared by other participants and not to disclose or circulate personal or professional information shared within the group without permission.
8. Intellectual property
Clients retain ownership of their own materials, including Fellowship applications, reflective accounts, CVs, professional portfolios and other documents they provide to me.
I retain ownership of my own original materials, including templates, frameworks, guides, presentations, workshop materials, resources and feedback tools.
Materials I provide as part of a service are for the client's own use in connection with that service. Materials provided by the Consultant may not be reproduced, commercially distributed or shared without permission.
Where materials from third parties are referred to or linked to, their own copyright and terms of use continue to apply.
9. Data protection
I process personal information in accordance with applicable UK data-protection law. My Privacy Notice explains what personal information I collect, why I collect it, how I use and protect it, how long I retain it and the rights available to individuals.

Clients should provide only personal information that is necessary for the agreed service and should ensure that they have the appropriate authority to provide any information relating to another person.
10. Recording of meetings
Online or in-person meetings must not be recorded by either party without the prior knowledge and agreement of the other party. Where a recording is agreed, its purpose, access and permitted use will be agreed in advance.
11. Professional nature of the services
I provide educational consultancy, mentoring, professional development support and related services based on my professional experience and judgement. My services do not constitute legal, financial, medical, employment or other regulated professional advice.
Where a matter requires specialist advice outside the scope of my services, clients should obtain advice from an appropriately qualified professional.
12. No guaranteed outcomes
My mentoring, consultancy and feedback are intended to support clients in developing their own practice, professional applications or educational work.
I cannot guarantee:
-
the award of an Advance HE Fellowship;
-
promotion or career progression;
-
accreditation or certification;
-
funding;
-
publication;
-
employment outcomes; or
-
any other professional or educational outcome.
Where an application or decision is made by another organisation, the decision rests with that organisation. Clients remain responsible for their own decisions and for the accuracy and completeness of any materials they submit.
13. Liability
I will provide services with reasonable skill, care and professionalism.
To the extent permitted by law, my total liability arising from the provision of services shall not exceed the fee paid by the client for those services.
Nothing in these terms limits or excludes any liability that cannot legally be limited or excluded.
If the client is a consumer, these limitations apply only to the extent permitted by applicable law and do not affect statutory consumer rights.
14. Events outside my control
I will not be responsible for delays or failure to provide services where this results from circumstances beyond my reasonable control, including illness, technical failures, interruption of internet or communication services, natural events, government restrictions or other circumstances that could not reasonably have been anticipated or prevented.
Where reasonably possible, I will communicate any significant delay and agree an alternative arrangement with the client.
15. Ending an ongoing service
For an ongoing consultancy or mentoring arrangement, either party may end the arrangement by giving the notice period specified in the relevant Consultancy Services Agreement.
If a client ends an engagement early, payment will be due for services already provided and for any other amounts that are properly due under the agreed terms and applicable law.
16. Governing law
These terms and any services provided under them are governed by the law of England and Wales.
Any dispute will be subject to the jurisdiction of the courts of England and Wales, except where applicable consumer law provides otherwise.

The version applicable to a particular service will normally be the version agreed with the client when that service is booked.
